1. Terms of Use

1.1 Welcome to Majhi.com. This is a subsidiary of Appnap Technologies Limited that provides access to the website, mobile application, all information, tools and services which are subject to the terms and conditions set out below. A user agrees to be bound by the terms and conditions while accessing the website. Therefore, it is recommended to go through this carefully as the usage of our service signifies user agreement.
1.2 Using Majhi through visiting the website, downloading the mobile application or registering for, in any manner whatsoever implies an agreement and acceptance of all Majhi policies including but not limited to the Privacy Policy available at Privacy Policy which is revised periodically.
1.3 Any updates to the tools, features, and services added to the Terms & Conditions will be in action immediately and will be added to the Terms & Conditions on this page. By making updates and/or modifications to the website, Majhi retains the right to amend or replace any portion of the Terms & Conditions. As a result, this page should be reviewed for modifications on a regular basis to be current with the Terms. Following the publication of such modifications, to continue the usage of our service indicates your acknowledgement to the updates.
1.4 For the sake of transparency, it is implied without limitation that the Term reference “User,” and “You” in any context refers to any natural or legally eligible person who accesses the website as an administrator or end user. Acceptance of these Terms as a merchant, third party customer of the merchant or on behalf of an organization, legal entity, or government represents your authorization to assent to it.
1.5 Reference to “Appnap Technologies Limited”, “Majhi”, “Company”, “Website”, “We”, “Us”, “Our” correspond to the website and any licenses owned by Appnap Technologies Limited.
1.6 The applicable laws regulating e-commerce in Bangladesh will govern our Terms of Use and our services will be implemented in line with the agreements. Any enforceable legitimate claim or procedure emerging in association with Majhi must be dealt under the jurisdiction of a Bangladeshi court.
1.7 The website and mobile application are managed by Appnap Technologies Ltd, with its registered office located at 'Ranks Business Center (5th Floor), Ka-218/1, Pragati Sarani, Kuril, Dhaka-1229'. and the company is incorporated following the laws of Bangladesh.
1.8 The terms outline the policies, regulations, and conditions which will be instantly applicable to all users and visitors of Majhi, which is inclusive of the modification of these Terms & Conditions over time. These terms will be in action unless either You or Majhi adjourns it in compliance with the terms set forth here.
1.9 You may terminate your agreement with Majhi by not visiting the website and mobile application and deleting your account.

2. Eligibility

2.1 You must be an adult of eighteen years and above to become a user of Majhi. Only those who are legally capable of entering into and performing a contract under the Contract Act, 1872 are eligible to use our platform.
2.2 If you are a minor and choose to use our service for any purpose, you may do so with the assistance of your legal guardian. If it is brought to our attention that being a minor, you are a user of our platform, then we hold the right to withdraw your account and/or cease to offer you association with Majhi.
2.3 Majhi shall not be accountable if the user provides misleading information regarding the identity and/or age being a minor and under such circumstances his/her legal guardian will be solely responsible for the repercussions under the relevant laws of Bangladesh.
2.4 The company renounces any accountability stemming from an unauthorized use of the platform or third-party use from your account on the platform.

3. Registration and Profile Creation

3.1 In order to be suitable to use our services, you must sign up and create a profile by generating a username and password and providing relevant details such as mobile number to receive a one-time password (OTP) to complete registration.
3.2 You are entirely liable for protecting your login information such as username, password and any other user codes, if applicable. If you suspect your privacy has been breached and your password has gotten to someone else, then you should contact us immediately. You acknowledge that Majhi holds the right to terminate your enrollment if your given data is unreliable, inaccurate or out-of-date and not corresponding to our Terms & Conditions. You also acquiesce that anyone having your personal information will have full access to your account whether authorized by you or not. Therefore, protecting your data is at your full discretion.
3.3 Any real or suspected unauthorized access to your account must be promptly reported to Majhi to take necessary steps in order to protect your account. However, the company and its stakeholders shall not be liable in any manner for any damage that occurred due to the breach of privacy of your account details; any damage suffered by the company due to unauthorized access to your account will fall under your entitlement.
3.4 You bear witness that the primary objective of enrolling an account in Majhi as a merchant is to manage your business with online technical support and it will not be used in other ways or for reasons prohibited by law.

4. User information

4.1 Some details provided by you may allow others to discover personal details about you and know you on broader terms. You are willingly giving your consent to these terms by providing your personal information.
4.2 To enjoy our services you need some resources such as smartphone and internet connection which will be solely your responsibility. Majhi is not liable for any messaging charges or taxes incurred due to your usage of our service.
4.3 Signing up to Majhi grants us access to your mobile device to enable us to upload images and relevant information. The access includes your location, mobile storage, notification control, and mobile accounts to provide you seamless experience in using Majhi.
4.4 You will receive notifications from Majhi from time to time regarding all service announcements. These are part of our services and let you know about new features from Majhi.

5. General Terms

5.1 Conducive to the items and services provided by the buyers, all the contractual terms and conditions are binded and agreed between the buyers and sellers. Majhi does not have any association with those contracts nor does it determine or influence them in any way. Majhi only offers technical help and support services to the merchants in their commercial endeavors. The product price and details offered by the merchants are solely at their discretion and Majhi does not have any influence or say in it in any form. These include product price, mode of payment, availability, shipping costs, tax, warranty, replacements, and delivery conditions.
5.2 Majhi does not take responsibility regarding credibility and authenticity of any merchant. You are advised to evaluate the merchant and the product by using your best judgment before making a purchase decision. The company does not guarantee any specifics related to quality, resale value or after sale service.
5.3 A contract formed between buyer and seller is not associated with Majhi in any way and any breach or termination of such contract will concern both parties only, without involving us. The merchant promises to hold the company harmless from all types of losses incurred as a result of the merchant’s operation on the platform and communication with the buyer.
5.4 Majhi is not liable for defective products or inadequate services from the merchant in the form of delays or product unavailability. At no point does Majhi gain the product or service entitlement and authority.
5.5 Majhi is just acting as a conduit for communication and it must be acknowledged that the contract between buyer and seller is between the two parties only. Our main objective is to inform the merchant in the event that the buyer has a dispute regarding any product or service and holds no control over the merchant’s operation.

6. Merchant obligations

6.1 Merchants have the freedom to enlist their products and offer images and descriptions for customer perusal. The listed products have to fall under the applicable laws of permitted goods to be sold.
6.2 The listed items have to be categorized precisely with descriptions, price, pictures and other relevant information with sufficient inventory level to process the orders anytime. Generating business outside our platform is completely forbidden and will be deemed a violation of the Terms of Agreement.
6.3 The product offering representation must not be deceptive and must accurately depict the product’s condition. You commit to reimbursing all payments received from the buyer if the item description does not represent the actual product.
6.4 The merchants have to assure that all the product descriptions, pictures and details must be authentic and coincide with the original product in terms of appearance, size, quality, color, and performance.
6.5 The company may charge a subscription fee for registering on the platform for the purpose of maintaining and using the services of Majhi. Presently, there are no fees or charges associated with registering, accessing, or maintaining an account. Majhi reserves the authority to launch new services including premium or paid services, as well as change or cancel any currently offered services.
6.6 Sellers are expected to uphold the intellectual property rights of others, as is the company. We retain the power, at our sole discretion and without any obligation to you to delete content that is deemed to be infringing. We will react to notices of suspected infringement that are properly delivered to us and conform with the Law. if you suspect that your material has been duplicated in a way that violates your copyrights, please report to us at Help and Supports
6.7 You must not exploit or misuse the platform and not indulge in any conduct that breaches the User Agreement guidelines. Under such circumstances, Majhi holds the right to disable or permanently delete your account.

7. User obligations

7.1 You may not use, “deep-link”, “robot”, “spider”, “page-scrape”, or any other automatic device, program, algorithm or methodology, or any similar or equivalent manual process to access, acquire, copy or monitor any portion of the platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the platform or any content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the platform. Any such behavior is subject to our prohibition.
7.2 You will not seek to acquire any confidential data or feature of the platform or any systems or networks connected to the platform and server through “hacking” or “password mining”.
7.3 You shall not reverse look-up or trace any information related to any user, buyer, or Majhi’s Software/ Application/ Website, for the purpose of exploiting it or revealing any information which is restricted.
7.4 You agree to grant us a non-exclusive, irrevocable, royalty free right to assert the copyright, publicity and database rights so that we can use your provided information without breaching your authority. Majhi assures you to use your data coinciding with all the Terms & Policies that apply to the use of our platform.
7.5 Majhi retains the right without obligation to monitor your activity on the platform, and if necessary, remove or edit any content which does not comply with our Terms. Regardless of this right, you are solely liable for the materials you post and any of these do not necessarily reflect the company’s viewpoints. In no circumstances will the company be held liable or responsible for any material posted, any claims, damages, or losses arising from the display of such information on the platform. You acknowledge and agree that you have all required permission and that all information you provide will not violate any third-party intellectual property or proprietary rights.
7.6 Other users may expose you to offensive items inadvertently by publishing or sharing offensive or obscene materials. They may gain personal details as a result of your use of the platform which may be used to threaten or bother you. Majhi does not condone such illegal uses but it must be understood and accepted that we are not accountable for the information you share publicly. Therefore, it is advised to be cautious while revealing or sharing anything on the platform with others.
7.7 Users are expected to uphold the intellectual property rights of others, as is the company. We retain the power, at our sole discretion and without any obligation to you to delete content that is deemed to be infringing. 7.9 You agree that you will not transfer your account or delegate any rights or obligations under the Terms of Agreement to any other party without the Company’s express written authorization.

8. Prohibited Uses

A user is restricted from using our platform for promoting any predilection towards the following purposes:
8.1 A user is not allowed to download, transfer, or publish any information from another person without having any rightful claims to it.
8.2 Sharing or displaying any information which is severely detrimental, disgraceful, outrageous, deceitful, promoting bigotry, despicably instigating or invading someone’s confidentiality, pornographic, racial, ethically and morally repugnant, paedophilic, maligning, supporting gambling or money laundering, illegitimately hostile or otherwise potentially illegal in any way is strictly prohibited.
8.3 A user must agree that the information shared is not misleading in any way.
8.4 Sending junk mails, spamming, phishing, or scraping.
8.5 Violations of intellectual property rights of Majhi or any of its users.
8.6 To transmit any code, programs or software virus for any deceptive purpose that might interfere with our operation and services and extort any personal data.
8.7 Gathering or monitoring anyone’s private information.
8.8 To tamper with or undermine our security features and the internet’s security mechanisms.
8.9 Any offer, attempt, or trade (either directly or indirectly) of any illegal substances whose dealing is forbidden in any way by applicable Law.
8.10 Poses a risk to Majhi and creates circumstances which make us lose valuable opportunities or hinder our operation in any way.
8.11 If you become aware of any activity, misrepresentation, conduct or transaction that violates these terms, you must immediately notify Majhi at Help and Supports

9. Action

9.1 In the event that you violate the Agreement, the Company reserves the right to instantly revoke the user’s access or usage rights to the platform without prior notice, and any violative information presented on the platform will be removed immediately.
9.2 If the company suspends your account on the platform, then it has full discretion to remove or destroy any existing data about you. You acknowledge that the company is not responsible for any deletion or removal of such form.

10. Intellectual Property

10.1 Majhi is both the owner of intellectual property rights of the platform or any other materials posted online and all non-exclusive, perpetual, irrevocable, royalty free rights. The materials posted include without limitation - user interface, logo, layout format, order processing workflow, design, ideas, structure, and any content thereby.
10.2 You acknowledge that Appnap Technologies Ltd. is the registered owner of Majhi including its word mark, logo, copyright, trademark and all its variants of Intellectual Property. You will not attack or assist another in attacking the validity of, or the Company’s property rights, licensed marks, or file any applications for the ownership of the licensed mark, logo or names which are misleadingly similar to the licensed marks. If you learn of any violation of Intellectual Property Rights, you must notify with relevant information to Help and Supports
10.3 Except for the limited right to use Majhi and its services as highlighted throughout, nothing in this Agreement will grant you entitlement, interest, or claim to use the Intellectual Property of Majhi and you acknowledge that you hold no such component of Majhi.
10.4 You are obligated to seek a license from the company or its users before using any of the content for commercial purposes.
10.5 If you violate these terms by copying, printing, or downloading any section of the platform, your permission to use the platform will be terminated immediately at our discretion and you must delete or return any contents you have created.

11. Indemnification and Limitation of Liability

11.1 In no event shall the company or its stakeholders be liable for any direct, indirect, incidental, consequential, special or punitive damages including but not limited to loss of profits, revenue, goodwill, data, personal injury, personal damage, intangible loss arising out of or in connection with any transaction with Majhi or the services provided by the service providers on behalf of the platform.
11.2 You agree to release and indemnify Majhi from any and all kinds of assertions, demands, deeds, litigation, costs, expenses, and damages originating from any transaction with Majhi or through its platform or any content you upload on or any other aspect of the platform and such indemnity will be applicable to all claims, actions, demands, proceedings.
11.3 You agree to indemnify and hold harmless the company, its parent, subsidiaries, personnel, affiliates, internal service providers, and their respective officers, shareholders, directors, agents, and employees from any claim or demand against all losses, liabilities, actions, suits, claims, proceedings, costs, damages, decisions, settlement fees incurred or penalized by any third party.

12. Termination

12.1 Without restricting other solutions available to the company, the company may, in its sole discretion, cancel your membership and delete your account, restrict or activity on the platform, suspend or terminate your user account and refuse to provide you with access to the platform.
12.2 The company’s acts, omissions, or decisions do not waive any rights or claims the company may have against the user. Any user who has been suspended or prohibited from using the platform might not be able to register with the platform, or use the platform in any way until the company reinstates them. Regardless of the foregoing, if you violate the Terms & Policies or any other contractual arrangement between the Company and You, the company reserves the right to take legal action against you.
12.3 You agree and acknowledge that it is our sole discretion to terminate your access to our platform completely or partially, or block your accessibility to our platform without prior notice. The reasons include the following conditions but not limited to these:
- 12.3.1 An event occurring that is beyond our control.
- 12.3.2 Suspension or significant changes to the website or its services.
- 12.3.3 As a result of instructions from government or law enforcement agencies.
- 12.3.4 As a result of your own requirement.
- 12.3.5 unpredictable technical hiccups.
12.4 Your access to the platform will cease immediately upon receiving a notification of termination from Majhi.
